GrantHop Terms of Use

Effective date: October 1, 2026

GrantHop is operated by Exacto Systems Inc. o/a Finnovate.io (“Company,” “we,” “us” or “our”). These Terms govern access to granthop.com and its related applications, tools and services (the “Platform”). “Organization” means the non-profit organization, charity or grassroots initiative on whose behalf an account is created. “You” means the Organization and, where a provision concerns an individual’s conduct, the person accessing the Platform.

1 Acceptance and authority

By affirmatively accepting these Terms, you enter into a binding agreement with the Company. An individual accepting on behalf of an Organization represents that they have authority to bind it. Individuals must be at least 18 years old and use the Platform only for an Organization they are authorized to represent. If you do not agree, do not create an account or use the Platform. The Organization is responsible for its authorized users and their compliance with these Terms.

2 Free service and permitted use

Subject to these Terms, we grant the Organization a limited, non-exclusive, non-transferable, revocable right to use the Platform for its own lawful grant administration and related internal activities. Eligible non-profit organizations may use the available free offering without subscription fees. We may verify eligibility, impose reasonable usage or storage limits, and restrict misuse. The free offering creates no service level, support, uptime or continued-development obligation. We may change features or discontinue the Platform under section 11. Any future paid offering requires a separate affirmative agreement; these Terms do not authorize charges.

3 Accounts and organizational access

You must provide accurate account information, protect credentials, administer access and permissions, and promptly revoke access for users who are no longer authorized. Notify us promptly of suspected unauthorized use. Organizational administrators may control access to workspace content and activity. Do not share accounts or credentials with unauthorized persons. You are responsible for activity you authorize or cause, including through connected services, but this provision does not excuse the Company’s own legal obligations.

4 Your responsibility for grants and submissions

The Organization chooses whether and how to use the Platform, at its own discretion and risk, subject to rights that applicable law does not permit it to waive. The Platform is an administrative aid. It is not a funder, professional adviser, grant reviewer or guarantor of compliance or funding. Information and output do not constitute legal, accounting, tax, financial or professional grant advice.

You must independently verify original funder materials, eligibility, requirements, mandatory attachments, word limits, budgets, dates, time zones, cutoffs and amendments. You must review and approve all extracted tasks and generated drafts, monitor deadlines independently, maintain appropriate records and backups, and obtain qualified advice where needed. A checklist or approval status does not establish that an application is complete, compliant or accepted.

You remain solely responsible for submitting applications and reports, obtaining any required approvals, confirming receipt through the funder’s official system, and complying with grant conditions. Uploading information, marking a task complete, receiving a reminder, or approving a draft in GrantHop does not by itself submit anything to a funder or confirm receipt. Do not rely on the Platform as your only calendar, records repository or deadline reminder system.

5 Automated and AI assisted features

The Platform may use automated processing and artificial intelligence to extract requirements, suggest tasks or deadlines, summarize documents or draft text. These features may produce inaccurate, incomplete, outdated, biased or fabricated results, omit requirements, or interpret materials incorrectly. Outputs may vary and may resemble outputs provided to others. We do not guarantee factual accuracy, originality, eligibility, compliance or funding outcomes. You must evaluate outputs against source documents before using them. Human approval features assist your review; they do not replace it or guarantee that inappropriate content will be blocked.

6 Your content and processing permission

“Organization Content” includes documents, grant materials, prompts, drafts, task information and other content you or your users provide. As between you and the Company, you retain your rights in Organization Content. You grant us a non-exclusive permission to host, store, copy, transmit and process that content, including through service providers, only as reasonably necessary to provide, secure and maintain the Platform, fulfill your instructions and meet legal obligations. Processing of personal information is governed by the Privacy Policy and applicable law. This permission continues after termination only to the extent necessary for lawful retention and backup expiry described there.

You represent that you have the rights and authority needed to provide the content, authorize the processing involved, and grant access to your users. Obtain required notices, permissions and consents from individuals, funders and other rights holders. Do not upload materials that prohibit third-party or AI processing. Minimize and redact personal information. Unless we separately agree in writing to suitable safeguards, do not upload health records, beneficiary case files, children’s personal information, government identifiers, payment card details, passwords or similarly sensitive information.

We do not acquire ownership of your grant applications. To the extent we hold transferable rights in generated output produced for you, we assign those rights to the Organization, excluding our Platform technology and third-party materials. This does not guarantee that output is copyrightable or free of third-party rights. You may provide voluntary feedback; we may use that feedback to improve the Platform without payment, provided we handle personal information under the Privacy Policy.

7 Prohibited conduct

You must not use the Platform unlawfully; submit fraudulent, infringing or unauthorized content; distribute malware; access another organization’s content without authorization; bypass security or usage limits; interfere with operation; scrape or redistribute the Platform in bulk without permission; or sell, sublicense or commercially exploit access. You must not reverse engineer the Platform except to the extent applicable law expressly permits it. We may investigate suspected misuse and restrict access under section 11.

8 Company property and third parties

The Company and its licensors retain rights in the Platform software, design, trademarks and other materials, excluding Organization Content. No rights are granted except those expressly stated. External websites, grant listings, funder portals and connected services are operated by third parties. Their terms and privacy practices apply to your use of them. Links do not establish endorsement or affiliation. We do not control their accuracy, availability, decisions or security. You are responsible for selecting and authorizing integrations and understanding the information they share.

9 Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ITS OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS AND RELIABILITY. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE OR SECURE OPERATION, DELIVERY OF REMINDERS, DETECTION OF EVERY REQUIREMENT, PRESERVATION OF EVERY RECORD, OR ANY GRANT OR FUNDING RESULT. INFORMATION FROM SUPPORT OR MARKETING DOES NOT CREATE AN ADDITIONAL WARRANTY UNLESS EXPRESSLY INCLUDED IN A WRITTEN AGREEMENT SIGNED BY THE COMPANY.

10 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. THEY WILL ALSO NOT BE LIABLE FOR LOSS OF GRANTS OR FUNDING, LOSS OF PROFITS OR REVENUE, LOST OPPORTUNITIES, MISSED DEADLINES, REJECTED APPLICATIONS, REPAYMENT OR CLAWBACK OF GRANTS, BUSINESS INTERRUPTION, OR LOSS OR CORRUPTION OF DATA, WHETHER THOSE LOSSES ARE CHARACTERIZED AS DIRECT OR INDIRECT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY AND THOSE PERSONS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED CAD $100 FOR ALL CLAIMS COMBINED. THESE EXCLUSIONS AND THIS CAP APPLY REGARDLESS OF THE LEGAL THEORY, INCLUDING CONTRACT, TORT, NEGLIGENCE, NEGLIGENT MISREPRESENTATION OR OTHERWISE, EVEN IF THE POSSIBILITY OF LOSS WAS KNOWN AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or gross negligence, or any liability or remedy that applicable law does not permit to be excluded or limited. Nothing restricts a person’s non-waivable privacy rights, right to complain to a regulator, or a regulator’s powers. The parties acknowledge that the free nature of the service and this allocation of risk are material to the Company’s decision to provide the Platform.

11 Suspension termination and discontinuation

You may stop using the Platform and request account closure at any time. We may suspend or terminate access for breach, security risks, unlawful activity, ineligibility or materially excessive use, or where required by law. We may also discontinue the Platform or part of it. Where reasonably practicable, we will give advance notice of discontinuation and a reasonable opportunity to retrieve available Organization Content; immediate action may be necessary for security, legal or operational reasons. This does not create a guaranteed export feature or retention period. Keep independent copies of important records. Content retention and deletion are governed by the Privacy Policy, and ending access does not remove our obligations under applicable law.

12 Organization indemnity

To the extent permitted by applicable law, the Organization will defend and indemnify the Company and its directors, officers and employees against third-party claims and resulting reasonable losses, damages and legal costs arising from the Organization’s unlawful use, infringement of third-party rights through Organization Content, failure to obtain required content permissions or personal information consents, or material breach of these Terms. This obligation does not apply to the extent a claim results from the Company’s own breach of these Terms, negligence or other wrongful conduct. We will promptly notify you of a claim, provide reasonable cooperation at your expense, and permit you to control the defence with competent counsel. No settlement may admit fault by, impose obligations on, or fail to release an indemnified person without that person’s written consent, not unreasonably withheld.

13 Changes to these Terms

We may update these Terms prospectively. We will post the revised text and effective date and notify account holders of material changes before they take effect, except where immediate changes are required by law or to address a security threat. Where renewed acceptance is required, you must affirmatively accept to continue using the affected service. Changes do not retroactively alter claims arising before their effective date. If you disagree with a change, stop using the Platform and request account closure.

14 Governing law and general provisions

These Terms are governed by Ontario law and the federal laws of Canada applicable there. Subject to mandatory law and non-waivable rights, the parties submit to the exclusive jurisdiction of the courts in Ontario. Nothing prevents a complaint to a competent privacy or other regulator. There is no mandatory arbitration requirement in these Terms.

These Terms and any separate written agreement signed by the Company constitute the agreement concerning Platform use; a separate signed agreement prevails where it expressly conflicts. The Privacy Policy describes our handling of personal information and does not authorize unlawful processing. If a provision is unenforceable, it is severed to the extent necessary and the remainder continues. A failure to enforce is not a waiver. You may not assign these Terms without our written consent. We may assign them in a merger, reorganization or business transfer, subject to applicable law and the Privacy Policy. Provisions intended by their nature to survive termination, including ownership, disclaimers, liability limits, indemnity and governing law, survive.
